If you do not agree to these Terms, do not use our Services.

- Most clients are operational within one week of signup

4. Subscription Plans and Pricing

- Unlimited products and users, 100GB storage

All prices are in Euros (EUR) and exclude VAT (if applicable).
4.2 Payment Terms
- Setup fee: Paid before service begins
- Monthly subscription: Billed monthly in advance
- Payment methods: Bank transfer, credit card, or other agreed methods
- Currency: All fees are in EUR (€)
- Billing cycle: Monthly from the date of first payment
4.3 Price Changes
We reserve the right to modify pricing with:
- 30 days advance notice to existing customers
- New pricing applies to renewals after notice period
5. Free Trial / Demo
We may offer demos or trial periods:
- No credit card required for demos
- No commitment required
- Demo data may be deleted after demo period
- Converting to paid plan requires acceptance of these Terms
6. Your Responsibilities
6.1 Account Security
You are responsible for:
- Maintaining confidentiality of login credentials
- All activities under your account
- Notifying us immediately of unauthorized access
- Using reasonable security practices
6.2 Acceptable Use
You agree NOT to:
- Use the Service for illegal purposes
- Attempt to breach security or authentication
- Upload malicious code or viruses
- Reverse engineer the software
- Resell or redistribute the Service without authorization
- Use automated tools to scrape or download content at scale
- Impersonate others or provide false information

8. 30-Day Money-Back Guarantee
8.1 Guarantee Terms
If you’re not satisfied with Resonance within the first 30 days:
- Full refund of monthly subscription fee (first month)
- Setup fee is non-refundable (covers migration work performed)
- Must be requested within 30 days of service launch
- Account will be closed upon refund
8.2 How to Request Refund
Email hello@44group.io with:
- Subject: “Refund Request – [Your Company Name]”
- Brief reason (helps us improve)
- Refund processed within 14 business days
This guarantee applies only to the first month of service.
9. Cancellation and Termination
9.1 Cancellation by You
You may cancel at any time:
- Email hello@44group.io with 30 days notice
- No refunds for partial months
- Access continues until end of paid period
- You can export all your data before cancellation
9.2 Termination by Us
We may suspend or terminate your account if:
- Payment is overdue by more than 15 days
- You violate these Terms
- You engage in fraudulent activity
- Required by law
We will provide notice except in cases of:
- Legal requirement
- Security threat
- Severe Terms violation
9.3 Effect of Termination
Upon termination:
- Your access to the Service ends
- We will retain your data for 30 days for recovery
- After 30 days, data may be permanently deleted
- You can request a data export before termination
10. Data Ownership and Export
10.1 Your Data Belongs to You
- You retain all rights to data you upload
- We claim no ownership of your content
- You can export your data at any time
- No lock-in – export in CSV or other formats

- Export is always available, even after cancellation (within 30 days)
11. Intellectual Property

The Service, including:
- Software code
- Design and interface
- Documentation and content
- Trademarks and logos
…are owned by 44 Group OÜ and protected by intellectual property laws.
11.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to:
- Access and use the Service during your subscription
- Use in accordance with these Terms
- For your internal business purposes only
You may NOT:
- Copy, modify, or create derivative works
- Reverse engineer the software
- Remove proprietary notices
- Sublicense or resell
12. Warranties and Disclaimers

We disclaim all warranties including:

- The Service will be uninterrupted or error-free
- Data transmission will be secure or error-free
12.3 Your Use at Your Risk
You assume all risk for:

- Results obtained from the Service
- Decisions made based on Service data
13. Limitation of Liability
13.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 44 GROUP OÜ’S TOTAL LIABILITY SHALL NOT EXCEED:
- The amount you paid in the 12 months before the claim, OR
- €1,000 (whichever is less)
13.2 Excluded Damages
WE ARE NOT LIABLE FOR:
- Indirect, incidental, or consequential damages
- Lost profits or revenue
- Loss of data or business opportunities
- Cost of substitute services
- Damages beyond our reasonable control
13.3 Essential Purpose
These limitations apply even if remedies fail their essential purpose.
Exceptions: Nothing limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Violations that cannot be excluded by law
14. Indemnification
You agree to indemnify and hold harmless 44 Group OÜ from claims arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or third-party rights
- Content you upload or submit

20. Acknowledgment
BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
